Wilton Resources Inc. (TSXV: WIL) (the “Corporation”) is happy to announce that it has increased the size of its previously announced December 15, 2022 non-brokered private placement of units of the Corporation (“Units”) at a purchase price of $0.75 per Unit (the “Offering Price”). The Corporation now plans to issue 1,027,667 Units for a total gross proceeds of $770,750.25. (the “Offering”). The proceeds of the offering will primarily be used for general corporate needs and as a reserve to explore the potential purchase of a global oil and gas property.
One common share in the company’s capital (“Common Share”) and one common share purchase warrant make up each Unit (“Warrant”). One Common Share may be purchased with each Warrant at an exercise price of $1.00 on or before the day that is 24 months after the Offering’s conclusion (the “Closing”) (the “Exercise Price”).
In connection with the Offering, the Corporation intends to pay finders’ fees to: I Haywood Securities Inc. (“Haywood”), consisting of a cash payment equal to 7.0% of the total proceeds raised from the sale of Units to subscribers introduced to the Corporation by Haywood, and (ii) Griffin Reinhart (“Reinhart”), consisting of a cash payment equal to 7.0% of the total proceeds raised from the sale of Units to subscribers introduced to the Corporation by Reinhart. Each finder warrant entitles the holder to purchase one common share at the exercise price on or before the date that is 24 months after closing.
Closing is anticipated to take place soon, but it is subject to a number of customary requirements, such as getting all required approvals, including those from the TSX Venture Exchange.
